This Agreement is a contract between you and Mgrcp Investment Management LLC and their affiliates (referred to below as “The Mgrcp Group” or “we” or “us”), and applies only to this Site and not to other Sites that may be accessible from or linked to this Site. We are responsible only for the content of our own Site. We encourage you to review the user agreements of all other Sites that you visit.

The Mgrcp Group may at our sole discretion, amend this Agreement from time to time. If we make any substantial changes to this Agreement, we may notify you by reasonable means, including by posting a prominent notice on our home page. Please check this page regularly to make sure you are familiar with the current version of the Agreement. By continuing to use the Site following the publication of the revised Agreement, you accept and agree to the terms and conditions of the revised Agreement.

You hereby grant and agree to grant to the Mgrcp Group an unrestricted, worldwide, irrevocable, non-exclusive, perpetual, fully paid, royalty-free, transferable license to access, view, display, reproduce, adapt, publish, translate, store, host, cache, maintain, modify, distribute and otherwise use your User Information in any manner, provided that it is in accordance with the provisions of the P. Indemnity

Governing Law

You agree that your use of this Site, the Privacy Notice and this Agreement and any disputes relating to any of them shall be governed by the laws of the State of New York in all respects. Any dispute relating to the above shall be resolved only by the state or federal courts located in Manhattan, New York.

Termination

This Agreement shall be effective unless and until either you or the Mgrcp Group have terminated it. You may terminate this Agreement at any time if you discontinue any further use of the Site. We may also terminate this Agreement, at our sole discretion, at any time and may do so immediately and without notice, and therefore deny you access to the Site. The following provisions shall survive the expiry or termination of this Agreement: no Offer or Advice; Forward-looking Statements and Past Performance; Ownership; Submissions; Third Party Content; Disclaimers; Limitation of Liability; Compensation; Administrative Law; and Miscellaneous.

Miscellaneous

If a portion of this Agreement is found to be unlawful, void or unenforceable, it will not affect the enforceability of the remaining provisions and the remaining provisions will remain in effect. If any unlawful and/or unenforceable provision is lawful or unenforceable if part of it is deleted, that part shall be deemed to be deleted and the remainder of the provision shall remain in effect. Headings used in this Agreement are for reference purposes only and do not in any way define or limit the scope of the section.
